Terms of Service

Penny is a coordination tool, not a law firm, accountant, or licensed brokerage. She supports your team; your licensed professionals remain responsible for legal, tax, and compliance decisions.

1. Agreement

By using Penny, your brokerage agrees to these terms. If you're accepting on behalf of a brokerage, you represent that you're authorized to do so.

2. What Penny does

Penny helps coordinate real estate transactions: reading contracts, tracking deadlines and earnest money, maintaining compliance checklists, drafting and routing communications, scheduling, and reporting. Anything client-facing is presented for a human's confirmation before it is sent.

3. Not professional advice

Penny does not provide legal, tax, or financial advice. Her compliance review surfaces items for your broker to decide and never approves anything on its own. Always consult a licensed attorney, CPA, or broker for advice.

4. Your responsibilities

You're responsible for the accuracy of the information you provide, for reviewing anything Penny drafts before it goes to a client, and for your brokerage's compliance with applicable real estate laws and regulations.

5. Acceptable use

Don't use Penny for unlawful purposes, to send unauthorized communications, or in violation of messaging-platform policies (for example, WhatsApp and SMS carrier rules, including consent requirements).

6. SMS / text-messaging program

Program name: Penny.

Program description: When you give your mobile number to your brokerage to be contacted by Penny, you agree to receive operational and transactional text messages about your real estate transactions — deadline and contingency reminders, transaction status updates, earnest-money and document confirmations, requests for missing paperwork, showing and appointment coordination, and replies to questions you send about your active deals. This is not a marketing program.

How you opt in (double opt-in): When your brokerage adds you to Penny, an administrator enters your mobile number in the Penny web application after confirming you have agreed to be contacted about your transactions. Penny then sends you a single confirmation text:

"[Your brokerage] set up Penny, your transaction assistant, to text you. Reply YES to get deal updates & reminders. Msg frequency varies; msg & data rates may apply. Reply STOP to opt out, HELP for help. Terms: api.poweredbypenny.com/api/v1/terms"

You must reply YES to activate messaging. If you do not reply YES, you will receive no further messages.

Message frequency: varies based on your transaction activity. Message and data rates may apply — these charges come from your mobile carrier and are your responsibility.

Help & opt-out: Reply HELP at any time for help, or email support@poweredbypenny.com. Reply STOP at any time to cancel; we will send one confirmation message and then stop texting you. To rejoin, contact your brokerage or support@poweredbypenny.com.

Your consent is never shared or sold. Mobile information and SMS consent are not shared with third parties or affiliates for marketing or promotional purposes, and are never sold. Carriers are not liable for delayed or undelivered messages. See our Privacy Policy for how we handle your information.

7. Fees

Penny is priced per agent seat plus a base, billed on a recurring basis. Specific pricing is provided during onboarding. Seats can be adjusted as your roster changes.

8. Availability

We work to keep Penny available and reliable but do not guarantee uninterrupted service. We may update features over time.

9. Limitation of liability

To the extent permitted by law, Penny is provided "as is," and our liability is limited as described in your service agreement.
